Website Terms of Service

These Website Terms of Service (“Terms”) govern your access to and use of https://gofish-co.com, including the website’s wholesale inquiry and credit-application features. The website is operated by Go Fish Market Ltd., doing business as Go Fish Co. Credit applications are evaluated, and approved credit is extended, by Go Fish Co NYC Corp. In these Terms, “Go Fish,” “we,” “us,” and “our” refer to these companies as applicable to the interaction described.

By accessing or using the website or submitting a form through it, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website.

1. Business Use and Eligibility

The website is intended for businesses and adults. You must be at least 18 years old to submit a form. If you submit information for a business or another person, you represent that you are authorized to do so.

2. Website Information and Wholesale Inquiries

Website content is provided for general informational purposes. Product descriptions, selection, availability, pricing, delivery areas, delivery schedules, services, and other information may change without notice. Website content is not an offer or guarantee.

Submitting a wholesale inquiry does not create a customer relationship, require Go Fish Co. to provide any product or service, reserve inventory, establish pricing or delivery terms, or create a binding purchase agreement. Any sale, delivery, payment, credit, or account arrangement is subject to confirmation and any additional terms provided by Go Fish Co.

3. Credit Applications

The website’s credit application is hosted through Cognito Forms and submitted to Go Fish Co NYC Corp for evaluation. Submitting an application does not guarantee approval, create an account, establish a credit limit, or require Go Fish Co NYC Corp to extend credit.

You represent that information submitted in a credit application is complete, current, and accurate and that you are authorized to provide it. You also represent that you are authorized to provide information concerning any owner, officer, partner, employee, bank, or trade reference identified in the application.

By selecting the application authorization and submitting the form, you confirm that the information is accurate and authorize Go Fish Market Ltd., Go Fish Co NYC Corp, and their service providers to verify it and contact the trade references you identify. Under the current process, the website application does not authorize either company to obtain an outside consumer credit report. Any future credit-report request will be subject to any separate notice and authorization required by law.

If credit is approved and an authorized representative signs the Credit Agreement, the applicant agrees to pay Go Fish Co NYC Corp for merchandise purchased according to the approved payment terms stated on its invoices. As stated in the Credit Agreement, past-due balances accrue interest at 1.5% per month, or 18% annually, or the maximum rate permitted by applicable law, whichever is lower. The applicant also agrees to pay reasonable collection costs, including attorney fees and court costs, to the extent permitted by applicable law. The person signing represents that they are authorized to enter into the Credit Agreement for the applicant.

If an individual signs the Personal Guaranty, that person personally guarantees full and prompt payment of the applicant’s obligations under the Credit Agreement, including unpaid invoices, applicable interest, and permitted collection costs. The guaranty remains in effect until Go Fish Co NYC Corp receives written notice of revocation as described in the Personal Guaranty. Revocation applies only to obligations incurred after the notice is received and does not release the guarantor from obligations incurred before receipt.

The signed Credit Agreement and Personal Guaranty govern approved payment terms, interest, collection obligations, personal liability, revocation, and other credit arrangements. If these Website Terms conflict with either signed agreement, the signed agreement controls for that subject.

4. Communications and Marketing Consent

By providing an email address or telephone number, you authorize Go Fish Co. to respond to your inquiry or application and communicate with you about an active account, order, delivery, invoice, or requested service as permitted by law.

Marketing consent is optional. If you check the marketing-consent box, you consent to receive marketing emails and automated or recurring text messages from Go Fish Co., including product updates, availability, offers, and news. Message frequency may vary. Message and data rates may apply for texts. Consent is not a condition of making an inquiry, applying for credit, purchasing products, or receiving services.

You may opt out of marketing texts by replying STOP or communicating another clear opt-out request. You may unsubscribe from marketing emails using the unsubscribe link in an email or by contacting us. An opt-out applies to marketing communications and does not prevent communications concerning an active inquiry, application, account, order, delivery, invoice, or requested service when permitted by law.

5. Accurate and Authorized Information

You may not submit false, misleading, fraudulent, or unauthorized information. You are responsible for keeping information you provide reasonably current and for ensuring that you have permission to provide information concerning another person or business.

You may not submit Social Security numbers, bank-account information, or other sensitive financial information through the general inquiry form, email, or text message. Use only the designated credit application for information it specifically requests.

6. Acceptable Use

You may use the website only for lawful purposes. You may not:

Interfere with the website’s operation or security
Attempt to gain unauthorized access to systems, accounts, or data
Introduce malicious code or use automated tools to scrape, overload, or disrupt the website
Impersonate another person or business
Submit information without the required authority or permission
Use the website to violate any law or the rights of Go Fish Co. or another person

7. Intellectual Property

The website and its content, including text, photographs, graphics, logos, video, design, and other materials, are owned by or licensed to Go Fish Co. and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, nonexclusive right to use the website for its intended business purpose. You may not copy, reproduce, distribute, modify, publish, sell, or commercially exploit website content without prior written permission, except where permitted by law.

8. Third-Party Services and Links

The website uses or links to third-party services, including form, website, security, analytics, advertising, address-autocomplete, communications, and social-media services. We do not control and are not responsible for third-party websites, content, availability, security, or privacy practices. Your use of third-party services may be governed by their own terms and policies.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the website and its content are provided “as is” and “as available.” Go Fish Co. disclaims all warranties, express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, and noninfringement. We do not warrant that the website will be uninterrupted, error-free, or completely secure.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

10. Limitation of Liability

To the fullest extent permitted by law, Go Fish Co. and its owners, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising from or related to the website or these Terms.

To the fullest extent permitted by law, Go Fish Co.’s total liability for any claim arising from or related to the website or these Terms will not exceed $100.

These limitations do not exclude or limit liability that cannot lawfully be excluded or limited.

11. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Go Fish Co. and its owners, officers, employees, and agents from claims, losses, liabilities, and reasonable costs arising from your unlawful misuse of the website, information submitted without authorization, or material violation of these Terms.

12. Website Changes and Suspension

We may change, suspend, or discontinue any part of the website at any time. We may update these Terms by posting a revised version and changing the effective date. Your continued use of the website after an update constitutes acceptance of the revised Terms to the extent permitted by law.

13. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute arising from these Terms or the website must be brought in a state or federal court located in Bronx County, New York, and you consent to the jurisdiction of those courts.

14. Severability, Waiver, and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of that provision.

These Terms and the Privacy Policy are the entire agreement concerning use of the website. Separate agreements govern purchases, customer accounts, approved credit, delivery, payment, and other business relationships where applicable.
